Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and EZZlisting.com ("EZZ," "we," "us," or "our") governing your access to and use of ezzlisting.com and any related applications, features, and services (collectively, the "Service"). By creating an account, listing a business, posting content, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms, and "you" refers to both you and that business.

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements and that all information you provide is accurate, current, and complete.

EZZ operates an online business directory that lets businesses create free public listings, list services and job openings, and optionally purchase paid features (including EZZ VIP, business verification, Hot Listing placement, and the EZZ AI Assistant drafting tool). Consumers can search listings, leave reviews, and contact businesses directly.

EZZ is a directory and discovery platform only. We are not a party to, and assume no responsibility for, any transaction, agreement, service, or interaction between a consumer and a listed business. Any dispute arising from such a transaction is solely between the parties involved.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use.

You are solely responsible for the accuracy of any business listing, service, job posting, or other information you submit. EZZ does not verify the accuracy, legality, or completeness of listing content except where a paid "Verified" badge is explicitly purchased and reviewed as described in Section 8, and even then the badge reflects only the limited documentation review described there — it is not a guarantee of a business's quality, licensing, insurance, or conduct.

"User Content" means any text, photos, logos, banners, videos, reviews, job postings, or other material you submit to the Service. You retain ownership of your User Content. By submitting User Content, you grant EZZ a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, display, publish, distribute, and create derivative works of that content (e.g., resized thumbnails) solely for the purpose of operating, promoting, and improving the Service.

You represent and warrant that you own or otherwise control all rights to the User Content you submit, that it is accurate and not misleading, and that its use as contemplated by these Terms does not violate any law or infringe the rights of any third party.

Images and other media you upload are your sole responsibility. EZZ does not create, verify, endorse, or take responsibility for the content of any image, photo, video, or other file uploaded by a user or business, including its legality, accuracy, or ownership. We disclaim all liability arising from user-uploaded media to the fullest extent permitted by law.

You agree not to use the Service to submit, post, upload, or transmit content that:

• Depicts, promotes, or threatens violence, self-harm, or physical harm to any person or animal.
• Contains nudity, sexually explicit material, or sexual services.
• Is defamatory, harassing, threatening, abusive, hateful, or discriminatory on the basis of race, religion, gender, sexual orientation, disability, or any other protected characteristic.
• Is fraudulent, deceptive, or misleading, including fake reviews, fake listings, or impersonation of another person or business.
• Infringes any copyright, trademark, trade secret, or other intellectual property or proprietary right.
• Advertises or facilitates illegal goods, illegal services, or activity prohibited by applicable law.
• Contains malicious code, viruses, or attempts to interfere with, disrupt, or gain unauthorized access to the Service or other users' accounts or devices.
• Scrapes, harvests, or collects data from the Service (including contact information submitted through job applications) for any purpose other than the direct, individual purpose for which it was provided.
• Violates any applicable local, state, national, or international law or regulation.

You also agree not to misuse the Service in any other way, including by attempting to circumvent rate limits, security measures, or access controls, or by using the Service to harass, stalk, or harm another person or business.

We reserve the right, in our sole discretion and without prior notice, to remove or refuse to publish any content, and to suspend, restrict, or terminate any account or listing's access to the Service, if we believe that you have violated these Terms, engaged in conduct described in Section 6, or otherwise used the Service in a manner we determine, in our sole judgment, to be harmful to EZZ, our users, or third parties.

We may take these actions with or without notice, and we are not obligated to provide a reason for content removal or account action, though we may do so at our discretion. Termination does not entitle you to a refund of any paid fees except as required by law or as separately stated in these Terms.

A "Verified" badge is issued only after a business submits documentation for our review and pays the applicable fee (or receives it as included with an active EZZ VIP subscription). Verification confirms only that the submitted documentation was reviewed and reasonably appeared to support the business's identity as of the review date. It is not, and should not be interpreted as, an endorsement, certification, or guarantee of the business's licensing, insurance, quality, safety, or legitimacy on an ongoing basis. EZZ may revoke a Verified badge at any time if we later determine the underlying information was inaccurate or the business has violated these Terms.

Reviews must reflect a genuine experience with the reviewed business. EZZ prohibits incentivized reviews not disclosed as such, reviews posted by a business about itself or a competitor, and any other manipulation of the review system. We may remove reviews that violate these Terms or Section 6, but we are not obligated to monitor, verify, or adjudicate the accuracy of any review, and we are not liable for the content of any review.

The EZZ AI Assistant is an optional tool, included with an active EZZ VIP subscription, that generates draft business descriptions, service descriptions, and job postings based on information you provide and, where applicable, publicly available content from a website you supply. AI-generated drafts may be inaccurate, incomplete, or based on misinterpreted input.

You are solely responsible for reviewing, editing, and approving any AI-generated content before it is published, and for the accuracy of anything you publish using this tool. EZZ disclaims all liability for inaccuracies, errors, or omissions in AI-generated content, whether or not you edited it before publishing.

EZZ VIP is a recurring subscription billed monthly or annually as selected at checkout. Verification and Hot Listing are one-time or recurring add-on purchases as described on our pricing page. By purchasing a paid feature, you authorize us (and our payment processor) to charge your chosen payment method on a recurring basis until you cancel, where applicable.

Except where required by applicable law, all fees are non-refundable, including for partial subscription periods or unused features. You may cancel a recurring subscription at any time through your dashboard; cancellation takes effect at the end of the then-current billing period. We may change our fees prospectively with reasonable notice.

Participation in the EZZ affiliate program is subject to these Terms and any additional program terms presented at signup. Commissions are earned only on qualifying paid conversions as described in the program terms, are paid at our discretion on the schedule we describe, and may be withheld or reversed in cases of fraud, abuse, or violation of these Terms.

The Service may contain links to business websites and other third-party sites that are not owned or controlled by EZZ. We are not responsible for the content, privacy practices, or terms of any third-party site, and linking to a site does not imply our endorsement of it.

The service and all content are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. EZZ does not warrant that the service will be uninterrupted, secure, or error-free, that defects will be corrected, or that any listing, review, or other user content is accurate, complete, or reliable.

To the fullest extent permitted by law, EZZ and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the service, any user content, or any interaction or transaction with a listed business, even if advised of the possibility of such damages.

EZZ's total aggregate liability for any claim arising out of or relating to these terms or the service will not exceed the greater of (a) the amount you paid to EZZ in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless EZZ and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party, including any claim that your content infringes intellectual property rights or violates a third party's privacy rights.

If you believe content on the Service infringes your copyright, notify us with: (1) a description of the copyrighted work; (2) the location of the allegedly infringing material on the Service; (3) your contact information; (4) a statement that you have a good-faith belief the use is unauthorized; and (5) a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act on behalf of the copyright owner. Send notices to the contact address in Section 22. We may remove or disable access to material identified in a valid notice and may terminate accounts of repeat infringers.

You and EZZ agree to first attempt to resolve any dispute informally by contacting us. If a dispute is not resolved within 30 days, you and EZZ agree that it will be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual claim in small claims court. You and EZZ each waive any right to a jury trial and to participate in a class, consolidated, or representative action. This arbitration provision survives termination of your account and these Terms.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles, except to the extent preempted by federal law and except as otherwise provided in Section 18.

We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms from time to time; if we make material changes, we will provide notice as appropriate (such as by posting on the Service or updating the effective date above). Your continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. These Terms, together with any policies referenced in them, constitute the entire agreement between you and EZZ regarding the Service and supersede any prior agreements. You may not assign these Terms without our consent; we may assign them freely.
